Welcome to FatGrid.com. These Terms of Service ("Terms") govern your use of our B2B SaaS tool and related services, including backlink analysis, the marketplace, Assisted Purchase, and Private Seller services ("Service"). By accessing or using the Service, you agree to be bound by these Terms. Please read them carefully before using the Service.
FatGrid may modify these Terms at any time. Where changes are material, we will take reasonable steps to notify account holders. Continued use of the Service after changes take effect constitutes acceptance.
In these Terms, "FatGrid", "we", "us" and "our" mean Xamsor Inc, the operator of FatGrid.com. "You" means the person or organisation using the Service.
1.1 You agree to use the Service only for lawful purposes and in accordance with these Terms.
1.2 You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You accept responsibility for all activity that occurs under your account.
1.3 Each user is entitled to one (1) free trial period. Creating multiple accounts to obtain additional trials is prohibited. Accounts found in violation may be suspended or terminated without notice.
2.1 The Service provides backlink analysis tools that let users analyse backlinks associated with specific websites.
2.2 Analysis is based on algorithms and data available at the time of analysis. While we strive for accuracy, we cannot guarantee the accuracy, completeness, or reliability of any analysis.
2.3 Analysis may include information such as URLs, authority scores, backlink and referring-domain counts, ranks, and organic traffic. We collect and store this data to provide insights and reports.
2.4 Analysis is provided for informational purposes only and should not be relied upon as the sole basis for SEO or other business decisions.
3.1 You agree not to use the Service to engage in any illegal, unethical, or unauthorised activity, including but not limited to:

Any content you submit for publication through the Service, including through Assisted Purchase or Private Sellers, must comply with our Acceptable Use & Content Policy (Section 13 below). That policy forms part of these Terms. Submitting content that breaches it is a breach of these Terms.
4.1 In no event shall FatGrid, its officers, directors, employees, or agents be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, use, or data, arising out of or relating to your use of, or inability to use, the Service.
4.2 The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, to the maximum extent permitted by law.
4.3 FatGrid is not liable for any claim, loss, or damage arising out of or relating to content you supply for publication, the publication of that content by any marketplace, publisher, or Private Seller, or any third-party claim (including defamation, infringement, or privacy claims) connected with that content. Responsibility for such content and its consequences rests with you as set out in Sections 6A, 9, and 10.
4.4 To the maximum extent permitted by law, FatGrid's total aggregate liability to you for any and all claims relating to the Service is limited to the amounts you paid to FatGrid in the six (6) months preceding the event giving rise to the claim.
4.5 Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.
5.1 To become a Private Seller, you must first be approved by the FatGrid team. Interested applicants should contact our support chat to begin the approval process.
5.2 Private Sellers must publish the list of websites they work with on our platform using the Publishing option. Private Sellers are solely responsible for the accuracy, availability, and pricing of the information they provide.
5.3 FatGrid takes a 20% commission on each backlink sold through the platform. The commission is added on top of the seller's listed price, so the seller's earnings remain unaffected.
5.4 Transactions are not conducted directly through the platform. Private Sellers must invoice the FatGrid team on a case-by-case basis. Payments are processed by a FatGrid team member after verification.
5.5 Private Sellers are responsible for their own editorial and publishing decisions and for compliance with all laws applicable to the content they publish and the jurisdictions in which their sites operate. A Private Seller may decline to publish any content.
6.1 When purchasing backlinks through FatGrid, whether via Assisted Purchase or from Private Sellers, all payments are made to FatGrid. Our team manages the publishing process on your behalf in both cases.
6.2 Under Assisted Purchase, FatGrid places an order on your behalf with third-party marketplaces. Under the Private Seller option, FatGrid coordinates with an approved Private Seller from our internal inventory.
6.3 The price you pay includes all relevant service, publisher, and marketplace fees. You are responsible for providing the content for publication and for its lawfulness and accuracy. FatGrid may review submitted content only to check technical fit with a publisher's formatting and acceptance requirements, and may make minor formatting edits for that purpose. Any such review or edit is limited to publisher acceptance. It is not an endorsement of the content, not a check or verification of its accuracy, truth, or legality, and does not transfer authorship or responsibility for the content to FatGrid.
6.4 FatGrid will make reasonable efforts to fulfil your order. If an order is rejected by one marketplace or seller, we may attempt fulfilment through an alternative marketplace or by contacting the publisher directly.
6.5 If FatGrid is unable to complete your order after reasonable attempts, you will receive a full refund to your original form of payment in USD. Refunds are not issued as marketplace credits.
6.6 By placing an order, you acknowledge that FatGrid does not guarantee acceptance of your content by any specific publisher, marketplace, or Private Seller. Order success is subject to publisher guidelines, content quality, availability, and price changes.
6.7 Orders are automatically confirmed 48 hours after placement unless you contact the FatGrid team within that period to request changes or cancellation. Once an order is auto-confirmed, it proceeds to fulfilment and may no longer be modified or cancelled.
6A.1 Under Assisted Purchase, FatGrid acts solely as your agent and facilitator in procuring publication of content you supply. You are the principal, the author, and the party responsible for the content and its consequences. FatGrid does not author, originate, adopt, verify, or endorse your content.
6A.2 You instruct and authorise FatGrid to submit your content, on your behalf, to third-party marketplaces and publishers. You understand those third parties, and not FatGrid, decide whether and how to publish.
6A.3 FatGrid may, at its sole discretion and at any time, decline to submit, pause, withdraw, or request removal of any content or order that we reasonably believe breaches these Terms, the Acceptable Use & Content Policy, applicable law, or a marketplace's or publisher's terms, or that exposes FatGrid or a partner to a legal complaint. Where we decline before fulfilment, we will refund amounts paid for the affected order. Where we act after publication because of a breach or a well-founded third-party complaint, no refund is due.
6A.4 You acknowledge that FatGrid contracts with third-party marketplaces under their terms, which may make FatGrid responsible to them for content submitted on your behalf. Your obligations in Sections 9 and 10 extend to any liability those terms pass to FatGrid as a result of your content.
7.1 FatGrid operates a notice-and-takedown and complaints process, set out in full in the Complaints & Takedown Procedure (Section 14 below), which forms part of these Terms.
7.2 We may act on a complaint about published content, including by seeking its removal, editing, or the addition of a correction or right of reply, in line with that procedure. Acting on a complaint is not an admission of liability by FatGrid or by you.
8.1 You retain responsibility for all content you submit for publication. You represent and warrant, each time you submit content, that:
8.2 You are solely responsible for the truth of anything you publish about a third party. FatGrid does not fact-check, and its acceptance or handling of your content is not a representation that the content is true or lawful.
9.1 You agree to defend, indemnify, and hold harmless FatGrid and its officers, directors, employees, agents, and the marketplaces, publishers, and Private Sellers through which your content is placed, from and against any claim, demand, proceeding, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or relating to:
9.2 FatGrid may, at your expense, assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with FatGrid's defence.
9.3 This Section survives termination of your account and these Terms.
10.1 We may suspend or terminate your access to the Service at any time, with or without notice, for breach of these Terms.
10.2 You may terminate your account at any time through account settings or by contacting support.
11.1 These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules.
11.2 The state and federal courts located in the State of Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that jurisdiction.
11.3 Before commencing proceedings, the parties will attempt in good faith to resolve any dispute by negotiation, and either party may raise a dispute by writing to the contact address below.
This Section governs all content you submit for publication through the Service, including articles, link-insertion text, anchor text, and any images or media, and forms part of these Terms.
You are the author and originator of your content. You are solely responsible for its truth, legality, and consequences. FatGrid provides a procurement and placement service; it does not fact-check your content and does not verify claims you make about third parties.
You must not submit for publication any content that:
FatGrid does not accept content whose purpose or effect is to damage the reputation of a named living person, company, or brand.
Specifically, you must not submit content that:
FatGrid will decline, and where already placed will seek removal of, any content of this kind, regardless of how it is framed or whether it presents itself as balanced. Ordinary factual reference to a company in the normal course of a topic (for example a genuine product comparison grounded in fact) is not what this section targets.
FatGrid may, at its sole discretion and without obligation to monitor:
Exercising or not exercising these rights does not make FatGrid the author of, or responsible for, your content, and is not an admission of liability.
Breach of this policy is a breach of these Terms. It may result in refusal or removal of content, forfeiture of the order without refund where content is removed for breach or on a well-founded complaint, account suspension or termination, and your liability under the indemnity.
This Section sets out how FatGrid receives and acts on complaints about content placed through the Service, and forms part of these Terms.
Anyone, including a person or organisation named in content, their legal representatives, a marketplace, or a publisher, who believes content placed through FatGrid is unlawful, infringing, defamatory, or otherwise in breach of the Acceptable Use & Content Policy.

FatGrid acts as agent for the user in Assisted Purchase. Where lawful and appropriate, and especially where a formal legal claim is threatened against FatGrid or a partner, FatGrid may direct the complainant to the user as the author and responsible party, and may disclose the user's identity in response to a valid legal request or where required to defend a claim. The user's indemnity under the Terms applies.
Users whose content repeatedly draws well-founded complaints may have orders refused and accounts suspended or terminated under the Terms. Complaints found to be abusive or in bad faith may be declined.
We keep complaint records and the associated order, content, and substantiation for six (6) years, to align with typical limitation periods, so that FatGrid can show, later, how a decision was made.
